Job description

IOWN Renewable Energy, Inc. is seeking a Paralegal to provide a variety of support to the Company on transactional matters, with a focus on supporting the project development pipeline from site acquisition to construction. This person will play an essential role in the legal department, managing various legal agreements, including NDAs, service agreements, site control agreements, asset and equity purchase agreements, construction agreements and procurement contracts. The Paralegal will also assist the Company by ensuring compliance with existing contracts and company policies. The Paralegal is often required to work in a fast-paced environment that requires solid organizational and time-management skills, attention to detail, and excellent communication and teamwork skills.

The candidate will work for a rapidly growing renewable energy company headquartered in San Diego which seeks an innovative, focused, and motivated leader to start a team of professionals doing commercial modeling of projects and deal structures.

This position has the option of working in our La Jolla, California office.

Seniority level will be based on candidate experience.

Requirements

  • B.S. or B.A. degree from an accredited college or university
  • 4+ years’ experience as a paralegal (energy background preferred)
  • Experience working on complex projects involving a variety of contract documents.
  • Experience with corporate law documents and governance.
  • Experience with title/survey matters preferred but not required.
  • Ability to manage multiple projects and be adaptable with rapidly changing priorities.
  • Excellent written, verbal, and interpersonal skills.
  • Strong computer skills including working knowledge of Microsoft Suite.
  • Experience working with data rooms such as SharePoint and FTP sites.

Responsibilities

  • Assisting with day-to-day legal matters by drafting and negotiating confidentiality agreements, service agreements, engagement letters, and similar documents.
  • Overseeing corporate entity management and compliance for all renewable energy corporate entities in the U.S.
  • Working closely with commercial teams to assist with drafting and negotiating site control agreements and analyzing of land issues, including title/survey matters.
  • Assisting with closings of acquisitions and divestitures of renewable energy assets or companies, including preparing certain closing documents and maintaining closing checklists.
  • Monitoring ongoing obligations under transaction documents to confirm they are performed and documented when required.
  • Assisting with legal research and other special projects as requested.
